T-Mobile announced a significant expansion on Tuesday, agreeing to acquire a substantial portion of U.S. Cellular’s wireless operations for $4.4 billion. This strategic move aims to enhance services for customers of both companies and bolster T-Mobile’s competitive edge in the U.S. wireless market.

Under the terms of the agreement, T-Mobile will acquire: U.S. Cellular’s wireless customers, who will gain access to T-Mobile’s potentially broader network coverage. A significant portion of U.S. Cellular’s retail stores, thereby expanding T-Mobile’s physical retail footprint. 30% of U.S. Cellular’s valuable spectrum assets, which are essential for supporting network growth and capacity.

U.S. Cellular will retain ownership of the remaining 70% of its spectrum holdings, certain investments, and the majority of its telecom towers. However, T-Mobile will become a long-term tenant on many of these towers.

The acquisition is poised to benefit customers of both companies. T-Mobile customers could experience improved network coverage, especially in areas where U.S. Cellular has a strong presence. Meanwhile, U.S. Cellular customers might gain access to a broader range of network services and promotional offerings from T-Mobile in the future.

T-Mobile will finance the deal using a combination of cash and by assuming some of U.S. Cellular’s debt. This acquisition is not expected to impact T-Mobile’s previously announced financial targets for 2024. The transaction is anticipated to close in mid-2025, pending necessary regulatory approvals.

This acquisition strengthens T-Mobile’s position in the highly competitive U.S. wireless market. By acquiring valuable spectrum assets and expanding its network reach, T-Mobile can potentially offer more competitive services to a broader customer base. Notably, Verizon had also shown interest in U.S. Cellular’s assets, making T-Mobile’s successful acquisition a significant development in the industry landscape.
